These General Terms and Conditions of Sale (GTCS) define the terms and conditions under which Webdiz&Co (Anaïs Jobard E.I.), registered under SIRET number 981 311 939 00012, provides its customers with web design services, website creation and redesign, maintenance, graphic design services and other related services. They apply to all services provided by Webdiz&Co (Anaïs Jobard E.I.), unless otherwise expressly agreed in writing.
Any order for services placed with Webdiz&Co (Anaïs Jobard E.I.) implies full and unreserved acceptance of these terms and conditions by the customer. These terms and conditions take precedence over any other document, unless otherwise agreed in writing between the parties.
The services offered include:
– Webdesign (user interfaces, web graphics creation)
– Creation/redesign of WordPress sites (showcase, e-commerce, blog, portfolio etc.)
– Maintenance (corrective, upgradeable)
– Basic SEO optimization
– Hosting / domain names via third-party providers
– Graphic design digital and print.
The technical terms and deadlines are defined in the quote and/or the specifications and/or the service contract.
Services are detailed in advance in a written quotation. This estimate remains valid for 30 days. The order is validated by the customer’s signature of the quotation or written confirmation of his agreement (by e-mail). As of this validation, the customer is deemed to have accepted these GCS.
Service prices are indicated in euros, VAT not applicable – art. 293 B of the French General Tax Code. Any service not covered by a quotation will be subject to an amendment.
– A deposit of 30% of the total amount is due on validation of the order.
– The balance is payable on delivery of the services, unless otherwise agreed in writing.
– Invoices are payable within 30 days of the invoice issue date, by bank transfer or any other agreed method of payment.
– In the event of late payment, late payment penalties may be applied in accordance with article L441-10 of the French Commercial Code, calculated at the legal rate in force, as well as a fixed recovery indemnity of 40 euros (art. L441-10 of the French Commercial Code).
Delivery times are indicative and depend in part on the information and elements provided by the customer. Webdiz&Co (Anaïs Jobard E.I.) undertakes to meet agreed deadlines, but cannot be held responsible for delays attributable to the customer.
The customer undertakes to:
– Provide all information, documents and access necessary for the proper execution of the services.
– Respond to requests from Webdiz&Co (Anaïs Jobard E.I.) to validate the stages of the project.
– Guarantee that it holds the necessary rights to the elements provided (texts, images, logos, etc.).
Webdiz&Co (Anaïs Jobard E.I.) retains the intellectual property rights to the creations until full payment has been received. Upon full payment, non-exclusive transfer to the customer of economic rights (reproduction, representation, adaptation) for unlimited use, in all media, worldwide. The customer guarantees that the elements transmitted are free of rights.
Webdiz&Co (Anaïs Jobard E.I.) is bound by an obligation of means. Its liability is limited to direct damage caused to the customer and shall not exceed the total amount received for the service.
No liability can be accepted for indirect losses, data loss or damage caused by third-party services (host, plugin, etc.), nor for data loss caused by errors or negligence on the part of the customer.
Maintenance services are covered by a specific contract, detailing the terms and conditions, the services included and the response times.
The parties undertake to maintain the confidentiality of information exchanged in the course of providing services. This obligation remains in force for 3 years after the end of the contract.
Neither party may be held responsible for any delay or non-performance of its contractual obligations in the event of force majeure, as defined by article 1218 of the French Civil Code. If the force majeure event lasts longer than 60 days (2 months), the contract may be terminated by operation of law.
In the event of a serious breach of the obligations contained in these GCS, either party may terminate the contract after 15 days’ formal notice. In the event of termination, services rendered will be invoiced on a prorata temporis basis.
Unless the customer objects in writing, Webdiz&Co reserves the right to present completed projects for reference purposes (portfolio, website, social networks).
The GTC are governed by French law. In the absence of an amicable agreement, any dispute will be submitted to the competent courts of the jurisdiction of the registered office of Webdiz&Co (Anaïs Jobard E.I.).
